Card Isle Artist Submission Contract

Standard Artist Submission Contract
This contract is made between the Artist and the Card Isle Corporation ("Corporation").
This contract is effective upon signing and remains in effect for a twelve (12) month term, renewing automatically unless the Artist provides written notice sixty (60) days before the annual expiration date.
1. Definition of Agent:
A party submitting on behalf of the Artist is deemed the Artist's Agent and warrants authority to bind the Artist.
2. Definition of Work:
Work refers to any art, prose, or creative submission. "Cover Art" refers to art intended for card covers and determines compensation. "Prose" refers to written interior text. "Logo" refers to the Artist's name or associated branding. The Corporation reserves the right to alter inappropriate content.
3. Artist Membership Restrictions:
a. Artists must be 18 or older.
b. Artists aged 15–17 require a legal Parent/Guardian Sponsor to co-sign and assume responsibility.
4. Terms of Submission:
a. The Artist retains ownership but grants the Corporation a license to use Work for greeting card sales and promotional materials.
b. Up to three pieces of Prose may be displayed with the corresponding Cover Art, but the Corporation may substitute or modify Prose.
c. Submission does not guarantee acceptance. The Artist agrees to follow Community Guidelines.
d. The Artist will be credited with a Logo on printed cards except for bulk orders where customers may substitute logos.
e. The Corporation may remove Work at any time. Upon termination, removal will occur within ninety (90) days. Artists may also request removal within ninety (90) days.
f. The Artist affirms ownership or proper licensing of submitted Work. Copyright violations result in immediate removal and the Artist indemnifies the Corporation.
5. Terms of Compensation:
a. A royalty of $0.20 is paid per card sold. This rate is reviewed annually and may be updated with thirty (30) days’ notice.
b. Promotional rates may be offered and modified at the Corporation’s discretion.
e. Royalties are calculated quarterly and paid within sixty (60) days.
f. Balances under $15 are held until the threshold is met.
g. Upon termination, royalties of $15 or more will be paid; lesser amounts are forfeited.
h. The Artist must provide necessary banking and tax details. Failure to do so within thirty (30) days may result in forfeiture.
i. The Corporation will notify eligible Artists of payments and provide dashboard access to sales data. Additional data requests may be declined to protect proprietary information.
6. Warranty of Title:
The Artist warrants that submitted Work is free of liens and is rightfully licensed.
7. Indemnification:
The Artist agrees to defend and indemnify the Corporation against any claims arising from submitted Work. The Corporation retains control over legal strategy.
8. Miscellaneous:
This Agreement supersedes all prior agreements and is governed by New York law. Disputes are subject to binding arbitration in Nassau County, NY, under National Arbitration and Mediation rules.
9. Termination Clause:
The Corporation may modify or terminate this contract at any time.
